Terms of Service

These Terms of Service ("Terms") govern your access to and use of Project Hyperion, including the website at projecthyperionai.com, related applications, APIs, and services (collectively, the "Service"), operated by Project Hyperion ("Hyperion," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. The Service is not directed to children. You represent that information you provide is accurate and that you will keep your account credentials secure.

2. Nature of the Service — Not financial advice

Hyperion provides educational decision support across financial instruments, including Hyperion Scores, Contract Health Scores for options, market scanning, watchlists, journaling, and related tools powered in part by our Eclipse engine.

  • The Service does not place trades, execute orders, or act as a broker-dealer, investment adviser, commodity trading advisor, or exchange.
  • Content is for informational and educational purposes only and is not investment, trading, tax, or legal advice.
  • Options trading involves substantial risk of loss and is not suitable for all investors. Past performance and model outputs do not guarantee future results.
  • You alone are responsible for your trading and investment decisions. Always do your own research and consult licensed professionals as needed.

3. Accounts

You may need an account to access certain features. You are responsible for all activity under your account. Notify us promptly of unauthorized use. We may suspend or terminate accounts that violate these Terms or pose risk to the Service or other users.

4. Plans, billing, and cancellations

We offer a Free plan and a paid "Unlimited" subscription (and may offer other plans). Prices, features, and limits are described on the Service and may change with notice where required.

  • Paid subscriptions are billed through our payment processor (currently PayPal). Their terms also apply to payment processing.
  • Unless stated otherwise, subscriptions renew automatically until cancelled. You may cancel through your account settings or your PayPal account; access continues through the current paid period unless otherwise stated.
  • Fees are generally non-refundable except where required by law or expressly offered by us. Taxes may apply.
  • Free-plan usage limits (for example, analyze quotas) are enforced automatically and may change.

5. Acceptable use

You agree not to:

  • Use the Service for unlawful purposes or in violation of securities or market rules
  • Attempt to reverse engineer, scrape excessively, overload, or disrupt the Service
  • Circumvent plan limits, access controls, or security measures
  • Misrepresent outputs as personalized fiduciary advice or as Hyperion placing trades
  • Upload malware or infringe others' intellectual property or privacy rights
  • Use automated means to abuse APIs except as we expressly allow

6. AI, models, and data accuracy

Analyses, scores, recommendations, and explanations may use automated systems, machine learning, and third-party market data. Outputs can be incomplete, delayed, incorrect, or unsuitable for your situation. Market data providers may fail or degrade; we do not invent empty option chains, but we also do not guarantee completeness or timeliness of any data feed.

Scans and analyses you run may be stored and used to improve Eclipse and the Service (for example, learning from outcomes), as described in our Privacy Policy.

7. Intellectual property

The Service, including software, models, branding, UI, and content we provide, is owned by Hyperion or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business educational use in accordance with these Terms. You retain rights to content you submit; you grant us a license to host, process, and use that content to operate and improve the Service.

8. Third-party services

The Service may integrate or rely on third parties (for example, authentication providers, payment processors, email delivery, hosting, and market-data sources). We are not responsible for third-party sites or services. Your use of them may be subject to their own terms and policies.

9. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that results will meet your expectations or produce profits.

10. Limitation of liability

To the maximum extent permitted by law, Hyperion and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or trading losses, arising from your use of the Service.

Our aggregate liability for claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the claim or (b) one hundred U.S. dollars (US $100), except where liability cannot be limited by law.

11. Indemnification

You will defend and indemnify Hyperion and its affiliates against claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your trading decisions, your content, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access immediately if you breach these Terms, if required by law, or if we discontinue the Service. Sections that by nature should survive (including disclaimers, limitations, indemnity, and intellectual property) will survive termination.

13. Changes

We may update these Terms from time to time. We will post the revised Terms and update the effective date. Material changes may also be communicated by email or in-product notice. Continued use after changes become effective constitutes acceptance, except where applicable law requires otherwise.

14. Governing law and disputes

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules, unless mandatory consumer protections in your place of residence provide otherwise. Courts located in Delaware will have exclusive jurisdiction, subject to those mandatory protections. Either party may seek injunctive relief in any court of competent jurisdiction.

15. Miscellaneous

These Terms and the Privacy Policy are the entire agreement regarding the Service. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
